Terms of Service

These terms set the rules for using RetaGrade and purchasing materials supplied only for authorized laboratory research. Please read them before creating an account or placing an order.

Agreement and eligibility

These Terms of Service (“Terms”) form a binding agreement between you and RetaGrade governing the website, customer accounts, content, services, and purchases. By accessing the site, creating an account, or submitting an order, you accept these Terms and acknowledge the Privacy Policy. If you do not agree, do not use the site or place an order.

You must be at least 18 years old and legally able to enter this agreement. If you act for a company, laboratory, university, or other organization, you represent that you have authority to bind it; “you” then includes that organization.

Research-use products and prohibited uses

Material condition of every sale

All RetaGrade materials are supplied solely for authorized laboratory research. They are not drugs, foods, dietary supplements, cosmetics, or medical devices and are not intended for human or veterinary consumption, diagnosis, treatment, prevention, or therapeutic use.

By ordering or possessing a product, you represent and agree that:

  • You are qualified and authorized to obtain, store, handle, and use the material for lawful research.
  • You will independently determine and follow all laws, institutional rules, safety procedures, permits, import requirements, and disposal obligations that apply to you.
  • You will not administer a product to a human or animal, use it for personal purposes, resell it for a prohibited use, relabel it deceptively, or make medical or therapeutic claims about it.
  • You will maintain appropriate facilities, training, records, containment, storage, and access controls for the material.

RetaGrade may request reasonable information to review purchaser eligibility and may reject, cancel, restrict, or report an order when we reasonably suspect unlawful, unsafe, fraudulent, or prohibited use. Nothing on the site is medical, clinical, legal, or laboratory-safety advice.

Accounts, credentials, and acceptable site use

Information you provide must be current, accurate, and complete. You are responsible for activity under your account and for protecting sign-in credentials and secure guest-order links. Notify us promptly if you suspect unauthorized access. Do not forward a guest-order link to anyone who should not see the related order.

You may not:

  • Use the site unlawfully, fraudulently, to violate another person’s rights, or to facilitate prohibited product use.
  • Probe, bypass, disable, or interfere with security, authentication, rate limits, checkout controls, or access restrictions.
  • Use automated systems to scrape, overload, copy, or extract the site or catalog except as allowed by published technical instructions or written permission.
  • Introduce malware, impersonate another person, submit false payment or delivery information, or attempt unauthorized account or order access.

Orders, pricing, payment, and tax

Your cart is an invitation to place an order, not a reservation or acceptance. Before payment, checkout displays the selected items, quantities, prices, available delivery service and cost, any handling charge, applicable tax collected by RetaGrade, and the total. You are responsible for reviewing those details and the delivery address.

  • Order review: An order remains subject to payment authorization, inventory, purchaser and destination review, and these Terms. We may set quantity limits or decline an order.
  • Payment: The payment option displayed in checkout is processed by the configured provider. A temporary authorization or pending provider status is not final payment acceptance.
  • Errors: We may correct an obvious price, description, inventory, tax, or calculation error before shipment. If the correction increases what you would owe, we will request approval or cancel and refund the affected order.
  • Taxes and charges: You are responsible for taxes, duties, brokerage, permits, or other governmental charges not collected at checkout.

If we cancel a paid order before shipment, we will return the cancelled amount to the original payment method. Provider and financial-institution posting times are outside our control.

Product descriptions, certificates, and research decisions

We aim to present accurate product identity, quantity, lot, storage, and certificate information. Product photographs are illustrative; packaging, labels, and appearance may change without altering the stated product. A certificate of analysis (“COA”) reports results for the identified sample and methods and must be read with its notes, limitations, lot status, and source documentation.

You are responsible for deciding whether a product, specification, method, or COA is suitable for your protocol. Unless a product page or signed writing expressly says otherwise, RetaGrade does not guarantee that a material will produce a particular experimental result, work in a particular method, or satisfy an institution’s validation, publication, or regulatory requirements.

Verify before relying

Inspect the parcel and verify the product, seal, lot, and available COA before use. If information conflicts or a verification result raises a concern, isolate the material and contact support before relying on it.

Shipping, cancellation, returns, and risk

The Shipping & Returns Policy is incorporated into these Terms. It explains supported destinations, transit estimates, delay notices, address changes, delivery claims, return eligibility, and refund timing. Checkout and the order confirmation identify the service purchased for a specific order.

A delivery estimate is not a guaranteed arrival date. Title and risk of loss pass as provided by applicable law; nothing in these Terms shifts a risk that consumer law requires RetaGrade to bear. RetaGrade currently ships only to supported United States destinations and does not accept international delivery addresses.

A return requires prior written authorization. Research materials and temperature-sensitive goods are final sale after dispatch except for an incorrect, damaged, defective, or legally returnable item. Do not send a parcel to the sender address without support instructions.

Intellectual property and permitted use

The site and its original text, design, software, graphics, product presentation, RetaGrade marks, and compiled content are owned by or licensed to RetaGrade and protected by applicable intellectual-property laws. Third-party names and marks belong to their respective owners.

RetaGrade grants you a limited, revocable, non-exclusive, non-transferable right to use the site for lawful internal evaluation, account management, and purchasing. You may download or print a COA or order record for legitimate research, quality, compliance, or recordkeeping purposes, but may not alter it, remove provenance, claim endorsement, or use it deceptively. No other license is granted.

If you voluntarily send non-confidential feedback about the site or service, you permit RetaGrade to use it without restriction or payment. Do not submit confidential research results or third-party material you are not authorized to share.

Service and warranty disclaimers

To the fullest extent permitted by law, the site and general content are provided “as is” and “as available.” RetaGrade does not warrant uninterrupted or error-free access, that every description is free of typographical error, or that third-party services will always be available.

Except for an express product promise stated on the applicable product page, COA, written order term, or right that cannot lawfully be excluded, RetaGrade disclaims implied warranties, including merchantability, fitness for a particular purpose, non-infringement, and warranties arising from course of dealing or usage of trade. Research materials involve inherent technical uncertainty, and you assume responsibility for protocol design, handling, and results.

These disclaimers do not exclude an express commitment we made with your order or a warranty, remedy, or consumer right that applicable law does not permit us to waive.

Limitation of liability and indemnity

To the fullest extent permitted by law, RetaGrade and its owners, personnel, suppliers, and service providers will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, or loss of data, profit, revenue, goodwill, opportunity, or experimental results, arising from the site, a product, or these Terms, even if advised that such loss is possible.

To the fullest extent permitted by law, aggregate liability for a claim relating to a product or order will not exceed the amount you paid RetaGrade for the product or order giving rise to the claim. For a site-only claim, aggregate liability will not exceed the amount you paid RetaGrade in the twelve months before the event giving rise to the claim.

These limits do not apply to fraud, willful misconduct, gross negligence, death or personal injury caused by liability that cannot be excluded, or any other responsibility that applicable law does not allow us to limit.

To the extent permitted by law, you will defend, indemnify, and hold RetaGrade harmless from third-party claims and reasonable costs arising from your unlawful or prohibited use of a product, material violation of these Terms, or infringement of another person’s rights. This obligation does not cover a claim caused by RetaGrade’s own unlawful conduct.

Governing law and general legal terms

These Terms are governed by the laws of the State of New Jersey and applicable federal law, without regard to conflict-of-law principles. Unless applicable law gives you a non-waivable right to another forum, claims must be brought in a state or federal court with jurisdiction in New Jersey, and each party consents to that court’s jurisdiction.

If a provision is unenforceable, it will be enforced to the maximum lawful extent and the remaining provisions will continue. A failure to enforce a provision is not a waiver. You may not assign these Terms without written consent; RetaGrade may assign them in connection with a reorganization or transfer of the business. Headings are for convenience only.

These Terms, the Privacy Policy, Shipping & Returns Policy, and any order-specific terms are the complete agreement about the site and an order, replacing prior statements on the same subject. If they conflict, a signed writing controls, followed by order-specific terms, these Terms, and the general policies.

Changes, suspension, and termination

We may update the site and these Terms prospectively as operations, products, providers, or law change. The “Last updated” date identifies the current version. Material changes will receive additional notice where required. The Terms accepted when an order is submitted continue to govern that order unless law or a written agreement requires otherwise.

We may suspend or terminate access when reasonably necessary for security, maintenance, legal compliance, suspected fraud, prohibited conduct, or a material breach. You may stop using the site at any time. Provisions that by nature should survive—including payment obligations, product-use restrictions, intellectual property, disclaimers, liability, indemnity, and dispute terms—survive termination.

Email orders@retagrade.com and include enough detail for us to identify the policy or order at issue. Order questions should include the RetaGrade order reference, but never send a full card number, security code, password, or medical information by email.
